Introduction: Welcome to Xina AI. These Terms of Use govern your access to and use of the Xina AI website, applications, software, voice services, and related technologies. By accessing or using the services, you agree to these Terms. If you do not agree, please do not use the services.
About Xina AI: Quartile 3 Robotics DBA Xina AI, provides artificial intelligence-powered voice automation solutions for restaurants, hotels, hospitality providers, and other businesses. Services may include automated ordering, guest services, reservations, customer support, call routing, analytics, and other related business automation tools.
Artificial Intelligence Services: Xina AI utilizes artificial intelligence and machine learning technologies to process information and generate responses. While Xina AI continuously improves its systems, AI-generated responses may occasionally contain inaccuracies, misunderstandings, omissions, or incomplete information. Users should independently verify important information before relying upon it.
Call Recording and Monitoring: Services powered by Xina AI may record, transcribe, monitor, analyze, and store communications for service delivery, quality assurance, training, product improvement, security, fraud prevention, and legal compliance. By interacting with Xina-powered systems, you acknowledge that such processing may occur.
Customer and Business Data: By using the services, you grant Xina AI the right to process, store, analyze, and utilize business data, menus, product information, call recordings, transcripts, ordering patterns, operational workflows, and interaction outcomes for providing services, improving platform performance, enhancing speech recognition, improving ordering accuracy, developing new features, and training, tuning, validating, and optimizing artificial intelligence systems. Xina AI may create aggregated, anonymized, or de-identified datasets for analytics, benchmarking, research, and product improvement. Xina AI does not sell customer business data.
Third-Party Services: The services may integrate with telecommunications carriers, payment processors, point-of-sale systems, cloud providers, artificial intelligence providers, and other third-party services. Xina AI is not responsible for interruptions, delays, outages, errors, or failures caused by third-party providers.
Acceptable Use: You agree not to violate applicable laws, attempt unauthorized access to systems, interfere with platform operations, upload malicious software, engage in fraudulent conduct, or attempt to reverse engineer proprietary technology. Xina AI reserves the right to suspend or terminate access for violations of these Terms.
Intellectual Property: All software, technology, source code, trademarks, service marks, logos, voice systems, workflows, artificial intelligence models, prompts, documentation, content, and other intellectual property associated with Xina AI are and shall remain the exclusive property of Quartile 3 Robotics LLC and its licensors.
Except for the limited rights expressly granted under these Terms, no ownership rights, licenses, or other interests in Xina AI intellectual property are transferred to any user, customer, or third party. Any suggestions, feedback, recommendations, enhancement requests, ideas, improvements, modifications, workflow designs, operational concepts, ordering logic, voice interaction improvements, feature requests, or other contributions provided by you relating to the Services may be used, incorporated, modified, commercialized, or otherwise exploited by Xina AI without restriction and without any obligation of compensation, attribution, royalty, accounting, licensing fee, or other consideration to you. Customer feedback, workflow suggestions, menu optimization concepts, ordering logic recommendations, voice interaction improvements, business process recommendations, and feature requests shall not be considered Customer Confidential Information and may be freely used by Xina AI for product development, artificial intelligence training, platform improvements, and commercial purposes. You hereby assign to Xina AI any rights you may have in such contributions to the extent permitted by law and agree that all resulting improvements, enhancements, modifications, derivative works, and intellectual property developed from such contributions shall be owned exclusively by Quartile 3 Robotics LLC without any obligation to compensate the contributing party.
Customer Intellectual Property: You retain ownership of your own trademarks, branding, menus, business information, and other pre-existing intellectual property provided to Xina AI.
Privacy: Your use of the services is also governed by Xina AI’s Privacy Policy.
Service Interruptions and Downtime: Xina AI provides its services on an ‘as available’ basis and does not guarantee uninterrupted operation, availability, performance, or accessibility of the services. From time to time, services may become unavailable, delayed, interrupted, degraded, or otherwise affected by factors including maintenance, internet outages, telecommunications failures, cloud provider disruptions, power outages, cybersecurity incidents, third-party service failures, or events beyond Xina AI’s reasonable control. Xina AI shall not be responsible or liable for any losses, damages, costs, expenses, lost revenue, lost profits, lost business opportunities, missed calls, missed reservations, missed orders, abandoned transactions, or other consequences resulting from service interruptions, delays, or downtime.
Order Accuracy Disclaimer: Xina AI utilizes artificial intelligence, speech recognition, machine learning, and automated decision-making technologies. While Xina AI continuously works to improve the accuracy of its services, artificial intelligence systems may misunderstand, misinterpret, omit, incorrectly process, or inaccurately respond to information provided by callers or users. Businesses using Xina AI remain solely responsible for reviewing, validating, fulfilling, preparing, delivering, and servicing customer orders and requests. Xina AI does not guarantee the accuracy of any order, reservation, request, transaction, or communication processed through its services and shall not be liable for incorrect orders, missed orders, incomplete orders, customer dissatisfaction, refunds, chargebacks, food costs, labor costs, delivery errors, or any related losses or damages.
Information Accuracy Disclaimer: Information generated, communicated, displayed, or delivered through Xina AI services may be based on customer-provided content, menu information, operational data, third-party systems, artificial intelligence processing, or other external sources. Xina AI does not warrant or guarantee that any information provided through its services is accurate, complete, current, reliable, or error-free. Users and businesses should independently verify important information before relying upon it. Any reliance on information generated through the services is at the user’s own risk.
Responsibility for Business Operations: Xina AI acts solely as a technology provider. Businesses utilizing the services remain solely responsible for their menus, pricing, taxes, inventory, reservations, promotions, discounts, customer communications, order fulfillment, delivery operations, refunds, customer support, compliance obligations, and all products and services provided to their customers. Xina AI is not a party to any transaction between a business and its customers and assumes no responsibility for disputes, claims, complaints, losses, damages, or liabilities arising from such transactions.
Artificial Intelligence Training and Service Improvement: By using the services, businesses acknowledge and agree that Xina AI may process, analyze, utilize, and learn from business data, menu information, call recordings, call transcripts, customer interactions, ordering patterns, operational workflows, and related information for the purpose of operating, maintaining, improving, training, validating, optimizing, and enhancing its services and artificial intelligence systems. Xina AI may also create aggregated, anonymized, or de-identified datasets for analytics, benchmarking, research, product development, and service improvement. Xina AI does not sell customer business data and will not intentionally disclose a customer’s confidential business information to another customer.
Payment Processing, Refunds, and Recovery Authorization
Xina AI utilizes Stripe Connect and other payment processing services to facilitate payment processing and settlement services on behalf of businesses using the platform. By using the Services, you authorize Xina AI and its payment processing providers, including Stripe, to deduct, withhold, offset, recover, or otherwise collect any amounts owed to Xina AI from settlement proceeds, payout transfers, connected accounts, reserve balances, future transactions, payment methods on file, linked bank accounts, or any other funds payable to you. Amounts owed to Xina AI may include platform fees, subscription fees, artificial intelligence usage fees, telephony fees, transaction fees, customer refunds, chargebacks, disputes, reversals, processing costs, taxes, collection costs, and any other amounts due under these Terms. You expressly authorize Xina AI to instruct Stripe to reverse transfers, offset future transfers, reduce or withhold payouts, debit reserve balances, recover funds from your Stripe Connected Account, or otherwise utilize any recovery mechanism available through the Stripe Connect platform to satisfy obligations owed to Xina AI. If available settlement proceeds, connected account balances, or future payouts are insufficient to satisfy amounts owed, you authorize Xina AI to charge any payment method or debit any financial account maintained on file for the recovery of outstanding balances.
Xina AI may suspend services, establish reserves, delay payouts, pursue collection activities, or exercise any other rights available under law or contract until all outstanding obligations have been satisfied.
This authorization shall survive termination of your account and remain in effect until all amounts owed to Xina AI have been paid in full.
Disclaimer of Warranties: THE SERVICES ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE.’ XINA AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. XINA AI DOES NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPLETELY ACCURATE.
Limitation of Liability: To the maximum extent permitted by applicable law, Xina AI, Quartile 3 Robotics LLC, its officers, directors, employees, contractors, affiliates, partners, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost sales, lost customers, lost reservations, lost orders, business interruption, reputational harm, food costs, labor costs, chargebacks, or other commercial losses arising from or related to the use of, inability to use, or performance of the services, regardless of the cause of such damages and whether based in contract, tort, negligence, strict liability, or otherwise. In the event liability is imposed notwithstanding the foregoing limitations, Xina AI’s total aggregate liability shall not exceed one hundred dollars ($100).
Changes to These Terms: Xina AI may update these Terms from time to time. Continued use of the services after changes are posted constitutes acceptance of the revised Terms.
Governing Law: These Terms shall be governed by the laws of the State of Florida without regard to conflict-of-law principles. Venue for any dispute shall be Miami-Dade County, Florida.
